Abstract
Uprava je obvezni pravni oragn društva. Uprava vodi poslove društva te zastupa društvo. Vlasnik može odabrati monistički ili dualistički sustav upravljanja. Zakon o trgovačkim društvima propisuje statusno-pravne odredbe te minimum procedura odlučivanja, a vlasnik i uprava ostala pitanja uređuju menadžerskim ugovorom između sebe. Menadžerski ugovor je dvostrano obvezni i neformalni ugovor. Može biti i mješoviti ugovor ako sadrži elemente ugovora o radu. Menadžerskim ugovorom uređuju se radno-pravni status menadžera, obveze, ovlaštenja i odgovornosti menadžera, način komunikacije i praćenja izvršenja ciljeva poslovne politike, osnovna plaća i nagrađivanje za ostvarene rezultate, etička pravila, osiguranje od poslovnih rizika i pitanje naknade štete, kompenzacije za menadžera te način tumačenja promjena i raskida ugovora. Trajanje mandata vremenski najčešće je vremenski ograničeno, a imenovanje se može obnavljati. Članove uprave može opozvati onaj tko ih je imenovao članovima uprave.
Abstract (english)
Management board is a compulsory administrative organ of every company. It manages the affairs of the company and represents it. The owner can choose a monistic or dualistic management system. The Companies Act perscribes statutory provisions and minimum decision-making procedures while other issues are discussed between owners and management themselves. A manager contract is a two-way mandatory and informal contract. It may also be a mixed contract if it contains elements of a labor contract. The manager contract regulates the working status of the manager, the obligations, the powers and responsibilities of the manager, the way of communication and the monitoring of the execution of business policy objectives, basic salary and rewards for the achieved results, ethical rules, business risk insurance and compensation claims, changes and termination of the contract. The mandate duration is mostly time limited and the appointment can be renewed. Members of the board may be revoked by the person who appointed them to the board members.
