Abstract
Preuzimanje je jedan od ključnih poteza kojima poduzeća nastoje odgovoriti na promjene u okruženju. Ono predstavlja kupnju kontrolnog interesa od strane poduzeća „A“ u poduzeću „B“, što je u pojedinim državama i po pojedinim autorima različito definirano. Napravljena je distinkcija između pojmova spajanje, preuzimanje i pripajanje, jer se često miješaju njihove definicije. Neki autori preuzimanje vide kao način na koji preuzimatelj postiže uspjeh, a poneki se ne slažu s time. Kako bi se bolje upoznalo s bitnim aspektima preuzimanja istražena je povijest preuzimanja, metode procjene uspješnosti preuzimanja, oblici i motivi preuzimanja, oblici financiranja preuzimanja i slično. Na primjeru Adris grupe, poduzeća aktivnog u nesrodnim preuzimanjima, istraženo je kako preuzimanja poduzeća iz različitih djelatnosti utječu na uspjeh poslovanja promatranog poduzeća. U empirijskom dijelu rada dokazano je da preuzimanja ne utječu na preuzimatelja pozitivno u promatranim aspektima te da, promatrajući poslovne prihode grupe, uspoređujući ih relativno i po zaposlenome, preuzimanje relativno većeg poduzeća bolje utječe na poslovanje preuzimatelja. Isti rezultati dobiveni su uključivanjem u analizu povrat na imovinu (ROA) te povrat na kapital (ROE).
Abstract (english)
The acquisition is one of the key steps with which companies are trying to respond to changes in their business environment. It represents the acquisition of control interest by company "A" (acquirer) in company "B" (the target company), which is differently defined in some countries and by individual authors. A distinction is made between the terms of merger, acquisition and takeovers, as their definitions are often mixed. Some authors view acquisitions as the way an acquirer achieves success, and sometimes disagree with it. In order to get acquainted with the most important aspects of takeovers and acquisitions research of the history, methods of estimating the success, the patterns and motives, the form of funding of takeovers and acquisitions, etc. was carried out. In the case of the Adris Group, a company active in unrelated acquisitions, it was investigated that taking over businesses from scattered businesses affects the success of the company's operations. Empirical research has proved that acquisitions do not affect the acquirer positively in the observed aspects. Moreover, it has been proved that taking a relatively and by comparing the relative and revenue per employee. The same has been proven with the analysis of return on assets (ROA) and return on equity (ROE).
