Abstract
Korporativno upravljanje je strateški pristup vođenju trgovačkih društava koji je nužan zbog jakih i učestalih promjena kako na tržištu tako i unutar društva. Menadžment društva treba brinuti o promjenama u zakonskom okviru koji može značajno utjecati na poslovanje kao i u potpunosti ga blokirati, te je stoga veoma važno da se upravljanje društva prilagodi aktualnim zakonskim izmjenama. Također menadžment nipošto ne smije zanemariti važnost ljudskog kapitala za uspješno korporativno upravljanje... More jer je ljudski kapital jedini kapital koji nije u vlasništvu društva te je sam po sebi unikatan i nemoguće ga je replicirati. Potrebno je imati zdravo financijsko stanje u društvu kako bi investitori mogli vidjeti da je društvo stabilno i da ima mogućnost razvoja. Najbolji način predstavljanja investitorima je kroz finacijska izvješća gdje sva društva predaju standardizirana izvješća koja su usporediva jedna s drugim te na taj način investitori mogu analizirati gdje im se najviše isplati ulagati novac. Pomoć financijskim izvješćima je i Kodeks korporativnog upravljanja koji sa svojih 10 poglavlja te sa svojim upitnikom od 142 pitanja obuhvaća sve segmente korporativnog upravljanja. U ovom radu je provedeno istraživanje o razlici cijena dionica prije i poslije uvođenja novog Kodeksa korporativnog upravljanja , te postojanje povezanosti između razine kulture korporativnog upravljanja i obilježja poduzeća(veličina poduzeća, visina prihoda, razina pokazatelja zaduženosti i razina pokazatelja likvidnosti). Tijekom provođenja istraživanja je utvrđeno da ne postoji značajna razlika u cijeni dionica prije i nakon uvođenja novog KKU te da postoji povezanost između razine KKU i veličine poduzeća, , dok ne postoji povezanost između razine KKU i razine pokazatelja likvidnosti, razine pokazatelja zaduženosti, te visine prihoda. Treba uzeti u obzir da je istraživanje provedeno u periodu kada je gospodarstvo primilo jak udarac izazvan krizom korona virusa. Less

Corporate governance is a strategic approach to the governance of companies, which is necessary due to strong and frequent changes both in the market and within company. The management of the company needs to worry about changes in the legal framework that can significantly affect the business as well as completely block it, and therefore it is very important that the management of the company adapts to the current legal changes. More capital for successful corporate management, because human capital is the only capital that is not owned by the company and is unique in itself and impossible to replicate. It is necessary to have a healthy financial situation in the company so that investors can see that the company is stable and has the possibility of development. The best way of presentation to investors is through financial reports, where all companies submit standardized reports that are comparable to each other, and in this way investors can analyze where it is most worthwhile to invest their money. Helping financial reports is the Code of Corporate Governance, which with its 10 chapters and questionnaire of 142 questions covers all segments of corporate governance. In this paper, research was done on the difference in share prices before and after the introduction of the new Code of Corporate Governance, and the existence of a connection between the level of corporate governance culture and company characteristics (company size, level of income, level of indebtedness and level of liquidity). During the research, it was determined that there is no significant difference in the price of shares before and after the introduction of the new CCG and that there is a connection between the level of CCG and the company size, while there is no connection between the level of CCG and the level of liquidity, the level of indebtedness and the amount of income.
